In addition, I have represented clients in tax audits and collection matters with the IRS, and piloted them through every stage, from the initial examination stage to appeals.

  • Advised a national company on the tax consequences of the spin-off of its corporate division
  • Helped taxpayers settle federal tax liability with the IRS through installment agreements and offers-in-compromise
  • Drafted and negotiated complex commercial agreements to support business growth and mitigate legal risks, including buy-sell agreements, redemption agreements, and options agreements
  • Drafted and negotiated M&A-related agreements, including purchase and sale agreements, disclosure schedules, and ancillary documents
  • Advised financial institutions and borrowers on real estate financing transactions, including construction loans, refinancings, and revolving credit facilities
